Tricky basement window finish help

I have a tricky basement window to try and finish out. The steel window framing comes right to the bottom of the floor joists, and there's an HVAC duct nearby. I don't want to lose the light by closing the window off, but do want to put some drywall on the ceiling in the area. Also running through are the main water lines, a gas line, the stove electrical, and a coax. How do I do blocking for this area around the window and minimize the loss?
