Silver Maple decision

Hey folks,

I have a Silver Maple not doing well, I think? It is probably close to 20' tall, and does not have any flowering branches above knee height. The leaf bearing branches that are there look to be doing well, but the tree as a whole is doing poor. Also there is branch growing from the ground, and it is growing rapidly, at over 5' tall now. My wife tells me this branch growing from the ground is part of a bad root. Im wondering what to do with the tree. We are talking of replacing it in the fall, but Im confused with the branch growing from the ground and the branches on the lower part of the tree. The branches that are growing seem to be growing well, I like what Im seeing. But is this a facade? Can/will it turn into a nice tree over the years? Thanks for any assistance.
