Is there any downside to waterproof carpet pads?

I'm looking into SmartStrand carpets, with an eye to the waterproof capability. The local store is also suggesting a waterproof pad (options they presented are by 3M and StainMaster). I understand the logic for this, and will probably go that route. But I'm curious if there are any potential downsides over a traditional pad? For example, just feeling the pad by itself, it felt slightly crinkly compared to a normal one. I wonder if that crinkliness would translate to any different feel/sound when walking on a carpet installed on top of one? If so I might reconsider. I don't expect any spills so bad that the waterproof pad would actually be needed... but if there are no downsides other than a little extra $... then I'm down to try it out.
