Covering an old quilt with a new one?

I have an old quilt I got at Macy's, nothing heirloom or anything like that, made in China. The fabric on the front has worn out, cannot be patched anymore it is just threadbare. I'm not sure how to recycle it, isn't even worth cutting up into placemats. But I'm wondering if I can use it as the liner for a new quilt. I have the idea of making a new quilt with some fabric I have inherited.
