Of course you can paint it; however the track lighting is distracting. Pick the grays from the fireplace. Congratulations on your new name.

Yes I agree with you about the lighting. This whole room needs a make over. I'm procrastinating because I really don't know what to do with the wood :(

Yes, paint the wood the same color as the walls, but select a warm shade of grey. I totally agree that you should remove the track lighting.

A darker grey for the wood and lighter grey for the walls would be lovely. Two values in color difference would be about right.

I would paint the bottom white (like its a chair rail). And I would paint the above (including the wood above fireplace) a warm grey color. If would still give a lovely focal point above fireplace, yet lighten the room. It looks like window light is limited. I agree, remove the track lighting.
If you don't like it, you can always paint it all grey. I think the contrast would look more custom.

Stain the wood don't pain over it. A darker stain will give you a updated look and still allow you to enjoy the BEAUTY of the wood.

To stain the wood I would have to strip it first is that correct? I Just want to make sure I know what I'm getting myself into LOL

I'd try to adjust some of the proportions here: the raised hearth could remain built out - the tiled ledge, though, isn't really working to accomplish that well and could use attention - and a wider chair rail. You might also add molding to the panels to balance them against the ceiling trim.
The suggestions for grey and white are fine, but also routine. Don't be afraid of playing with colour here -a navy would look great next to those floors. If you add an area rug, you can also choose a colour from it for the walls. Whatever colour you choose, I suggest a wooden housing for your telly, which is currently upstaging the fireplace.
If you like the grain, and are leaving the paneling as-is, you might also consider a colour wash, rather than painting, for a lower contrast finish.

Have you thought about wallpaper? It is back in a big way. There are quite a number of angles in the room that might be distracting. A pattern could unify the space. In regard to grey, I use it ALLOT. Remember to use a bulb that has less yellow in it or the walls can look dirty. I use GE Reveal bulbs.
Would you consider taking down the spotlights?

In terms of staining the wood, make sure that is wood and not laminate. I stained wood a sage green and loved it! My vote is for paint though because you can control the outcome better.
But here are some fundamental questions. Will the bottom wall get scratched or dinged from active kids or animals?
Do you want to lighten the space or make it cozy?
Will it ultimately end up as an active family room, quiet den or man cave?

It will look great painted. I suggest adding some molding like studio's first picture to add a little dimension. Two shades are ok, but I wouldn't go high contrast.
