ELIGIBILITY: To be eligible to enter or win, entrant must be an individual 18 years of age or older who has reached the age of majority in his or her state of residence, and who is physically a legal resident of and owner of a home in the 50 United States (includes the District of Columbia) at time of entry and prize distribution. Void where prohibited by law. Employees of Lowe's Home Centers, LLC ("Lowe's or Co-Sponsor"), Houzz, Inc. ("Houzz" or "Co-Sponsor"), GMR Marketing LLC ("GMR"), and each of their respective agencies, parent companies, subsidiaries, affiliates, promotional partners, representatives, and promotion and other vendor agencies involved in this Sweepstakes (collectively "Released Parties") and the immediate family (defined for the purposes of this Sweepstakes as parents, spouses, siblings, children) and household members of all such employees, are NOT eligible to participate in the Sweepstakes and/or win a prize. Sweepstakes is subject to all federal, state, and local laws and regulations.
PRIZE AND APPROXIMATE RETAIL VALUE:
One (1) Grand Prize: (Grand Prize winner may choose one of the prize options below).
Grand Prize Option #1: $50,000 Kitchen Makeover Designed by Houzz: Includes $25,000 worth of kitchen products from Lowe's awarded in the form of Lowe's Gift Cards and up to $25,000 in remodeling and design services paid for and designed by Houzz that will include design, construction, and installation services ("Grand Prize Option #1"). THE DESIGN WILL BE SUBJECT AT ALL TIMES TO HOUZZ'S APPROVAL AS SET FORTH BELOW IN THE "HOUZZ APPROVAL" SECTION. Lowe's Gift Cards are subject to state and federal regulations and are redeemable for merchandise only unless prohibited by law and cannot be used to make payments on any charge/credit account or used on prior purchases. Lowe's Gift Cards may be redeemed online, have no expiration date, and may not be resold.
Grand Prize Option #2: $40,000 Kitchen Makeover Designed by Houzz and $10,000 cash: Includes $10,000 cash paid by Houzz awarded in the form of a corporate check intended to be used for tax expenses, $20,000 worth of kitchen products from Lowe's awarded in the form of Lowe's Gift Cards, and up to $20,000 in remodeling and design services paid for and designed by Houzz that will include design, construction, and installation services ("Grand Prize Option #2"). THE DESIGN WILL BE SUBJECT AT ALL TIMES TO HOUZZ'S APPROVAL AS SET FORTH BELOW IN THE "HOUZZ APPROVAL" SECTION. HOUZZ'S APPROVAL: HOUZZ SHALL HAVE THE RIGHT TO REVIEW AND APPROVE EACH AND EVERY DESIGN-RELATED DECISION FOR THE HOME DESIGN PROJECT AND THE REMODELING AND DESIGN SERVICES INCLUDED IN GRAND PRIZE OPTION #1 OR GRAND PRIZE OPTION #2. GRAND PRIZE WINNER WILL WORK WITH A DESIGNER IN THE HOUZZ NETWORK (AS SELECTED BY GRAND PRIZE WINNER IN THE "PRO SELECTION" PROCESS SET FORTH IN THE "GRAND PRIZE WINNER" SECTION BELOW) ("DESIGNER") ON THE DESIGN BUT BEFORE ANY FINAL DECISION (general and specific) MAY BE MADE, HOUZZ WILL HAVE THE RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION, TO APPROVE OR REJECT ANY SUCH PROPOSED DESIGN DECISION. IF HOUZZ REJECTS A PROPOSED DESIGN, THE GRAND PRIZE WINNER MUST PROMPTLY WORK WITH THE DESIGNER TO DEVELOP A NEW OR MODIFIED PROPOSED DESIGN DECISION TO PRESENT TO HOUZZ, WHICH WILL INCORPORATE ANY AND ALL INPUT PROVIDED BY HOUZZ. EACH SUCH NEW OR MODIFIED PROPOSED DESIGN DECISION WILL BE SUBJECT TO HOUZZ'S REVIEW AND APPROVAL RIGHTS UNTIL HOUZZ'S APPROVAL IS OBTAINED. IF NO DESIGN IS APPROVED BY HOUZZ AFTER SIXTY (60) DAYS THE POTENTIAL GRAND PRIZE WINNER'S ELIGIBILITY AND ALL PORTIONS OF THE GRAND PRIZE WILL BE FORFEITED IN THEIR ENTIRETY, AND AN ALTERNATE POTENTIAL GRAND PRIZE WINNER WILL BE SELECTED AT RANDOM FROM AMONG THE REMAINING ELIGIBLE ENTRIES RECEIVED DURING THE SWEEPSTAKES PERIOD, TIME PERMITTING.
Approximate Retail Value ("ARV") of each Grand Prize Option is $50,000.
Grand Prize winner is responsible for all federal, state, and local income taxes and other taxes associated with the Prize (including any increase in property taxes that may be incurred as a result of awarding the Prize). Lowe's and Houzz will comply with all tax reporting requirements. Prize is non-transferable and no substitution is allowed except in Lowe's and Houzz sole discretion. Lowe's and Houzz reserve the right to substitute Prize of the same approximate retail value. Prize consists only of items specifically listed as part of the Prize. Certain conditions and restrictions apply. All costs and expenses not specified herein, related to any Prize, and other expenses incurred by accepting the Prize are the sole responsibility of the Grand Prize winner. Odds of winning depend on the number of eligible entries received.
GRAND PRIZE WINNER: The potential Grand Prize winner will be selected in a random drawing from among all eligible entries on or about February 6, 2014 by GMR, an independent judging organization whose decisions on all matters relating the Sweepstakes are final. The potential Grand Prize winner will be notified by phone, or e-mail, or express mail to the phone number/e-mail address/address indicated on the entry on or about February 7, 2014. Within seven (7) calendar days following the date notification is received by potential Grand Prize winner ("Eligibility Deadline"), the potential Grand Prize winner must complete, sign, and return as instructed (i) an affidavit of eligibility, (ii) a publicity release, (iii) a liability release, (iii) a criminal background check authorization form, (iv) a Personal Services Agreement (described below), and (v) the required tax documents (collectively, "Eligibility Documentation"). If such Eligibility Documentation is not returned on or before the Eligibility Deadline, then the potential Grand Prize winner's eligibility will be forfeited in its entirety and an alternate potential Grand Prize winner will be selected at random from among the remaining eligible entries received during the Sweepstakes Period. The potential Grand Prize winner must then schedule and attend a preliminary design meeting with Houzz ("Initial Design Meeting") within sixty (60) days after the Eligibility Deadline ("Initial Design Meeting Deadline"). If the Initial Design Meeting does not occur on or before the Initial Design Meeting Deadline, then the potential Grand Prize winner's eligibility will be forfeited in its entirety and an alternate potential Grand Prize winner will be selected at random from among the remaining eligible entries received during the Sweepstakes Period. Within fourteen (14) calendar days following the date of the Initial Design Meeting, the potential Grand Prize winner must select its contractor ("Contractor") and its Designer, which designer will be among the designers identified by Houzz at the Initial Design Meeting ("Pro Selection"), and within fourteen (14) calendar days following the date of Pro Selection ("Pro Contract Date"), the potential Grand Prize winner must enter into binding contracts with the selected Contractor and Designer. Within seven (7) calendar days following the Pro Contract Date (the "PPA Deadline"), the potential Grand Prize winner must enter into the Prize Payment Agreement with Houzz, Contractor, and Designer ("PPA").
Notwithstanding anything to the contrary herein, until the potential Grand Prize winner along with the selected Contractor or Designer enter into the Prize Payment Agreement with Houzz, the potential Grand Prize winner shall not be eligible for any portion of the Grand Prize, including any Lowe's gift cards, or if Grand Prize Option #2 is chosen including the Lowe's gift cards and the $10,000 cash prize. If the potential Grand Prize winner fails to enter into the Prize Payment Agreement with Houzz before the PPA Deadline, the potential Grand Prize winner's eligibility and all portions of the Grand Prize will be forfeited in their entirety, and an alternate potential Grand Prize winner will be selected at random from among the remaining eligible entries received during the Sweepstakes Period.
ALL CONSTRUCTION AND DESIGN SERVICES MUST BE COMPLETED WITHIN ONE (1) YEAR UPON THE EFFECTIVE DATE OF THE PPA OR GRAND PRIZE WINNER WILL FORFEIT ANY AND ALL RIGHT IN AND TO THE PORTION OF THE GRAND PRIZE RELATING TO THE REMODELING AND DESIGN SERVICES PAID FOR AND DESIGNED BY HOUZZ.
The potential Grand Prize winner may be subject to a criminal background check. Co-Sponsors reserve the right, in their sole discretion, to disqualify a potential Grand Prize winner for any of the following reasons: (a) non-compliance with these Official Rules; (b) in the event that a Grand Prize or Grand Prize notification is returned as undeliverable; or (c) in the event that a potential Grand Prize winner is not a homeowner. In addition, Co-Sponsors reserve the right to disqualify potential Grand Prize Winners based on the results of the criminal background check. The potential Grand Prize winner is fully subject to verification of identity and eligibility, including home-ownership, to Co-Sponsors' satisfaction or an alternate potential Grand Prize winner may be chosen.
Except where prohibited by law, acceptance of Grand Prize by a potential Grand Prize winner constitutes the Grand Prize winner's consent that their name, likeness, voice and/or biographical data may be used for advertising and promotional purposes without further compensation and shall be deemed a waiver of all rights of privacy without limitation and without additional notice, compensation or consent.
PERSONAL SERVICES AGREEMENT: As a condition of award of any portion of the Grand Prize, potential Grand Prize winner will be required to negotiate and execute a personal services agreement ("Personal Services Agreement") with Co-Sponsors or the potential Grand Prize winner's eligibility and all portions of the Grand Prize will be forfeited in their entirety, and an alternate Grand Prize winner will be selected at random from among the remaining eligible entries received during the Sweepstakes Period. The Personal Services Agreement will set forth the Grand Prize winner's responsibilities. The Personal Services Agreement shall require, among other things, (1) that the Grand Prize winner permits the use of their name, likeness or identifying information for promotional, publicity or advertising purposes in any media including print and online media, without time or geographic limitations, and (2) that the Co-Sponsors have the right to but not the obligation to use remodel photographs of the Grand Prize winner's home for future advertising.
PRIZE PAYMENT AGREEMENT: The PPA among the Grand Prize winner, Houzz, Contractor and Designer that is required as a condition of the award of any portion of the Grand Prize will set forth Grand Prize responsibilities with respect to payment of the Grand Prize. The PPA will require, among other things, that the Grand Prize winner agree that the home design project and the remodeling and design services included in Grand Prize Option #1 or Grand Prize Option #2 are subject to Houzz's approval and discretion (described above in the "Houzz Approval" section and further described in the Prize Payment Agreement). The potential Grand Prize winner's failure to sign a PPA satisfactory to Houzz in the reasonable exercise of its discretion will result in that potential winner's disqualification and selection of an alternate winner, time permitting.
ONLINE REGISTRATION: If for any reason the Sweepstakes, including the online portion, is not capable of running as planned, including disruptions caused by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures or any other cause that corrupts, affects or compromises the administration, security, fairness, integrity, proper conduct or intended play of the Sweepstakes, Co-Sponsors reserve the right at their sole discretion to disqualify any individual that Co-Sponsors or GMR deems responsible and Co-Sponsors further reserve the right to cancel, terminate, modify or suspend the Sweepstakes, and may determine an alternate method of prize award selection. Co-Sponsors assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications failure, theft, destruction or unauthorized access to, or alteration of, entries, including any erroneous appearance of qualification for or winning of a prize. Co-Sponsors are not responsible for any problem or technical malfunction of any telephone network or lines, computer online systems, servers or provider, computer equipment, software, failure of any e-mail or entry to be received by Co-Sponsors due to technical problem or traffic, congestion on the internet or at any web site, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Sweepstakes. WARNING: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY CONSTITUTE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH ATTEMPT BE MADE, CO-SPONSORS RESERVE THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. CO-SPONSORS FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THAT PROVISION. Sweepstakes entries generated by a script, macro or other mechanical or automated means are ineligible and will be disqualified. All entries must include a valid e-mail address for the entrant. In the event of dispute as to the identity or eligibility of a winner based on an e-mail address, the winning entry will be declared made by the "Authorized Account Holder" of the e-mail address submitted at the time of the entry. The "Authorized Account Holder" is the person to whom the applicable Internet service provider or other organization (such as business or educational institution) has assigned the e-mail addresses for the domain associated with the submitted e-mail address.
ADDITIONAL RULES, RELEASE OF LIABILITY: By submitting an entry, entrant agrees to accept and be bound by these Official Rules and agrees that any dispute with regard to the conduct of this Sweepstakes, rule interpretation, selection of Grand Prize winner or awarding of Prize, shall be resolved by Co-Sponsors or GMR, whose decisions shall be binding and final. By entering, entrant agrees to be notified by e-mail, phone, or express mail by the Co-Sponsors or GMR for the purposes of the administration of this Sweepstakes. By participating, entrant agrees to release and hold harmless Co-Sponsors, GMR, and each of their respective parent companies, affiliates, subsidiaries, service agencies, independent contractors, and the officers, directors, employees, agents and representatives of any of the above organizations from liability of any kind or nature for any injury, loss or damage to person, including death or property damage or infringement of any right (intellectual property, publicity, privacy or otherwise) due in-whole or in-part, directly or indirectly to the acceptance, receipt, use, or misuse of a prize, participation in the Sweepstakes or any Sweepstakes-related activity. Co-Sponsors are not responsible for any typographical or other error in the printing of this offer, administration of the Sweepstakes or in the announcement of prizes, including such error as may give an erroneous indication that a prize has been won. In the event the Co-Sponsors are prevented from continuing with this Sweepstakes or the integrity and/or feasibility of the Sweepstakes is undermined by any event including but not limited to fire, flood, epidemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, war (declared or undeclared), terrorist threat or activity, or any federal, state or local government law, order or regulation, order of any court or jurisdiction, or other cause not reasonably within the Co-Sponsors control (each a "Force Majeure" event), the Co-Sponsors shall have the right, in their sole discretion, to abbreviate, modify, suspend, cancel or terminate the Sweepstakes without notice or further obligation. If the Co-Sponsors, in their discretion, elect to abbreviate the Sweepstakes as a result of a Force Majeure event, the Co-Sponsors reserve the right, but shall have no obligation, to award the Prize from among all valid and eligible entries received up to the time of such Force Majeure event. All entries are the property of the Co-Sponsors and are not returnable.
